1. Introduction and Acceptance

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and Webakshar Solutions Private Limited ("Company", "we", "us", "our"), governing your access to and use of Web Sarathi ("Platform", "Service").

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

2. Service Description

Web Sarathi is a Google Business Profile management platform that provides:

• Integration with Google Business Profile via Google APIs
• Review monitoring and management
• AI-powered review response generation
• Automated review reply posting
• Business post and photo management
• Analytics and performance insights
• Competitor tracking and analysis
• AI-powered review refinement for customer reviews

The Platform acts as an intermediary between you and Google's services. We are not affiliated with, endorsed by, or sponsored by Google LLC.

3. Eligibility

To use our Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Be authorized to manage the Google Business Profile(s) you connect
• Comply with Google's Terms of Service and Business Profile guidelines
• Provide accurate and complete registration information
• Have a valid Google account with Google Business Profile access

By using the Platform, you represent and warrant that you meet all eligibility requirements.

4. Account Registration and Security

4.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4.2 Google Account Connection

When you connect your Google Business Profile, you authorize us to:

• Access your Google Business Profile data
• Read and respond to reviews on your behalf
• Create and manage posts and photos
• Retrieve analytics and performance data
• Store OAuth tokens securely for continued access

You can revoke this authorization at any time through your Google Account settings.

5. Subscription and Payments

5.1 Subscription Plans

We offer various subscription plans with different features and pricing. The current plans and pricing are displayed on our website and may be updated from time to time.

5.2 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

5.3 Payment Terms

• All prices are in Indian Rupees (INR) unless otherwise specified
• Prices are exclusive of applicable taxes (GST)
• Payment is due in advance for the subscription period
• We accept payments through authorized payment gateways
• Subscription fees are non-refundable unless otherwise stated

5.4 Cancellation

You may cancel your subscription at any time. Upon cancellation:

• Your access will continue until the end of the current billing period
• No refunds will be provided for unused portions of the subscription
• Your data will be retained as per our data retention policy

6. Acceptable Use Policy

You agree to use the Platform only for lawful purposes. You must NOT:

• Violate any applicable laws, regulations, or Google's policies
• Post fake, fraudulent, or misleading reviews
• Engage in review manipulation or incentivized review schemes
• Use the Platform to harass, defame, or harm others
• Attempt to access accounts or data belonging to others
• Interfere with or disrupt the Platform's functionality
• Reverse engineer, decompile, or disassemble the Platform
• Use automated tools to scrape or access the Platform without permission
• Circumvent any security measures or access controls
• Resell or redistribute our services without authorization
• Use AI-generated content to deceive or mislead consumers

7. AI-Generated Content

Our Platform uses artificial intelligence to generate and refine content. You acknowledge and agree that:

• AI-generated content is provided as suggestions and may require review and modification
• You are responsible for reviewing and approving all content before publication
• AI-generated responses should accurately represent your business
• We do not guarantee the accuracy, appropriateness, or effectiveness of AI-generated content
• You must not use AI features to generate false, misleading, or harmful content

You retain responsibility for all content posted to your Google Business Profile, whether manually created or generated with AI assistance.

8. Intellectual Property

8.1 Our Intellectual Property

The Platform, including its design, features, content, trademarks, and underlying technology, is owned by Webakshar Solutions Private Limited and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

8.2 Your Content

You retain ownership of the content you create or upload. By using our Platform, you grant us a non-exclusive, royalty-free license to use, store, and process your content solely for the purpose of providing our services.

8.3 Feedback

Any feedback, suggestions, or ideas you provide about the Platform may be used by us without obligation to you.

9. Third-Party Services

Our Platform integrates with third-party services, including:

• Google Business Profile API: Subject to Google's Terms of Service
• AI Providers: OpenAI, Anthropic, Google (subject to their respective terms)
• Payment Processors: Subject to their payment terms

We are not responsible for the availability, accuracy, or functionality of third-party services. Your use of third-party services is at your own risk and subject to their terms and policies.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy of AI-generated content
• Warranties that the Platform will meet your specific requirements
• Warranties regarding third-party services or integrations

We do not guarantee any specific results from using our Platform. Business outcomes depend on various factors beyond our control.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for loss of profits, data, business opportunities, or goodwill
• We shall not be liable for actions taken by Google or other third parties
• Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim

Some jurisdictions do not allow limitations on liability, so some of these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Webakshar Solutions Private Limited, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Content you post or actions taken through your account
• Your violation of Google's policies or guidelines

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us or through the account settings (when available). Subscription fees already paid are non-refundable.

13.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms or our Acceptable Use Policy
• Your actions may harm the Platform, other users, or third parties
• Required by law or regulatory authorities
• Your payment fails and is not resolved within the grace period

13.3 Effect of Termination

Upon termination, your right to access the Platform will cease. We may retain certain data as required by law or for legitimate business purposes.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending email notification for significant changes

Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan, India.

16. Dispute Resolution

Before initiating any legal proceedings, you agree to first contact us and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved through direct communication.

If informal resolution fails, either party may pursue formal dispute resolution as per the governing law and jurisdiction stated above.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Webakshar Solutions Private Limited regarding the Platform.
